Excellent opportunity for a Corporate M&A lawyer seeking a move beyond traditional private practice.
- Thomson Legal is working with a highly regarded specialist advisory business to recruit a Corporate M&A Lawyer into its growing Transactional Risk team.
- This is a genuinely different opportunity for an experienced corporate lawyer who wants to remain closely involved in M&A transactions while moving into a more commercial, client-facing and business development-focused role.
- Rather than drafting and negotiating acquisition documents as legal adviser, you will use your M&A experience to analyse transaction risks, advise clients on appropriate transactional risk solutions and work with lawyers, private equity professionals, corporate finance advisers, insurers and other deal participants..
The Role
- You will work on live M&A transactions, reviewing transaction structures, SPAs, disclosure materials and due diligence findings to identify key risks and assess appropriate transactional risk solutions.
- Alongside the technical transaction work, you will take an active role in developing the business across your region. This will include building relationships with corporate law firms, private equity houses, corporate finance advisers and other participants in the M&A market.
- The role offers considerably more commercial exposure than a traditional legal position and would particularly suit someone who enjoys the relationship-building, strategic and commercial aspects of corporate work.
- You will have significant autonomy in managing your diary, developing your regional market and building a pipeline of opportunities, supported by an established wider team.
Key Responsibilities
You will:
- develop and maintain relationships across the regional M&A market;
- advise on transactional risk solutions arising from corporate transactions;
- review SPAs, disclosure materials and due diligence reports;
- identify risks relevant to warranty, tax and other transaction-specific insurance solutions;
- present the firm's M&A and transactional risk proposition to clients and introducers;
- develop new business through relationships with lawyers, private equity professionals, corporate finance advisers and other dealmakers;
- manage opportunities from initial enquiry through to instruction and completion;
- negotiate transactional risk solutions on behalf of clients;
- coordinate with clients, lawyers, insurers and other advisers during live deals;
- prepare and deliver presentations to clients and professional audiences; and
- contribute to the continued development of the firm's regional M&A offering.
About You
We are interested in speaking with corporate lawyers who have substantial experience advising on M&A transactions and who are attracted by the opportunity to use that experience in a different commercial environment.
You will have:
- a UK solicitor qualification or equivalent;
- strong Corporate M&A experience;
- experience reviewing and negotiating SPAs and other transaction documentation;
- a good understanding of due diligence and the M&A transaction lifecycle;
- strong commercial awareness;
- confidence dealing directly with clients and senior professional contacts;
- an interest in business development and developing new relationships;
- the ability to explain complex legal and commercial issues clearly;
- knowledge of the M&A market in Scotland, Birmingham or Bristol, or relevant transferable experience; and
- the ability to work independently while being part of a collaborative national team.
An existing professional network would be advantageous but is not essential.
Experience within the SME or mid-market M&A space, private equity or tax would also be beneficial.
